1.Introduction

Simple-OCR (the "Service") is a cloud-based OCR offering provided by Cozy Inc. (the "Company"). These Terms of Service (the "Terms") apply to every customer who uses the Service. By accessing or using the Service you agree to be bound by these Terms.

2.Definitions

• "User": An individual or organization that uses the Service
• "Paid Plan": The subscription plans offered by the Company for a fee
• "OCR Credits": Paid credits issued by the Company to execute OCR requests
• "Content": Files, data, text, and other materials uploaded by the User

3.Account Registration

• You must provide accurate and up-to-date information when creating an account.
• Keep your passwords and authentication details secure and confidential.
• Notify the Company immediately if you suspect unauthorized use of your account.

4.Use of the Service

• The Company may add or modify features and specifications of the Service at any time.
• The Service may be suspended temporarily, with or without notice, for maintenance or incident response.
• Users must comply with applicable laws and these Terms when using the Service.

5.Prohibited Activities

Users must not engage in any of the following.

• Acts that violate laws or public order
• Infringing upon the intellectual property or privacy rights of others
• Interfering with the operation of the Service or imposing excessive load
• Impersonating another person to use the Service
• Reverse engineering, analyzing, copying, or redistributing the Service

6.Paid Plans and Payments

• Fees for Paid Plans are charged through payment processors designated by the Company.
• Plans renew automatically unless canceled at least 14 days before the renewal date.
• No refunds are provided for early cancellation unless required by law.

7.Handling of Files and Data

• Users retain ownership of the Content they upload.
• The Company uses Content only to perform OCR and improve the Service where necessary.
• The Company bears no obligation to back up Content; keep copies as needed.

8.Intellectual Property

All software, documentation, trademarks, logos, and related intellectual property in the Service belong to the Company or authorized third parties. Users may not use these materials without prior written consent.

9.Disclaimer of Warranties

The Company does not guarantee uninterrupted availability of the Service, accuracy of Content, or suitability for any particular purpose. Use of the Service is at the User's own risk.

10.Limitation of Liability

The Company is not liable for damages arising from use or inability to use the Service unless caused by the Company's negligence. The Company is not responsible for damages resulting from force majeure or circumstances beyond its reasonable control.

11.Term and Termination

• These Terms take effect when the User begins using the Service.
• Users may cancel their account at any time via the management console.
• The Company may suspend or delete an account without notice if it determines the User has violated these Terms.

12.Changes to the Terms

The Company may revise these Terms as needed. Material changes will be announced on the website or by email. Continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

13.Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. Any disputes between the Company and Users arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
